Trusts
Trusts boasts several benefits not available with other wealth management structures, the more notable features being immediate disposition of assets to beneficiaries in accordance with client’s wishes or instructions as the case dictates. Trusts can take several forms and should be tailored to suit the unique needs of the client. There is no long probation process, as is the case with Wills.
Bahamian Trusts – We create and administer trusts governed by Bahamian law, which can be fully or partially discretionary in nature, revocable or irrevocable, settlor directed, or directed by “Protectors,” created for an expressed purpose or duration; these are a just a few of the many benefits Bahamian Trusts offer.
Foreign Law Trusts – We create and administer trusts governed by the laws of other countries. In this respect, we work very closely with lawyers in the jurisdiction of choice to ensure that the trust is created and administered in accordance with relevant laws/regulations.
It is important to note that Windsor as Trustee manages and administers the affairs of all trusts under our purview, and such actions must unequivocally align with the terms of the trust deed and agreements, as negotiated with the client.
Companies
Based on a client’s unique circumstance, a Company may be the ideal solution for wealth structuring/management needs. A company may be used on a standalone basis or form a part of a larger structure. Windsor offers the following products:
Fully Managed Companies – We provide directors and officers, and assume responsibility for the entirety of the company’s affairs.
Registered Office/Agent Facilities (Bahamian Companies Only) – Each Bahamian company is required by law to have a Registered Agent, and Registered Office in The Bahamas. In providing this service, Windsor will facilitate the payment of annual government fees, and ensure that all regulatory filings are met.
Nominee Shareholder – Full domiciliary services include the provision of nominee shareholder services. This feature does not preclude Windsor from having to provide certain information to fulfill legal and regulatory obligations.
Bahamian Companies – We create and administer Bahamian International Business Companies (IBCs) and Companies Act Companies. An IBC is an excellent tool to use for international finance due to its flexibility and multi-purposed features. Companies Act Companies are good tools to use for domestic finance.
Foreign Law Companies – Windsor facilitates the creation of Companies governed by the laws of other countries, and administers these companies in accordance with the relevant laws. While a foreign law company can have an administrative office in The Bahamas, it must have a Registered office in the country of incorporation. Windsor works with Registered Agents in the clients’ jurisdiction of choice to ensure the proper set up and administration in every circumstance
Foundations
Foundations are oftentimes considered to be a hybrid of a Trust, and a company. Foundations are most commonly used to facilitate charitable causes, however clients also use Bahamian Foundations for private purposes, to take advantage of some of the Wealth Management benefits.
A foundation must have a Registered Agent in The Bahamas. Windsor provides the following services in this respect:

Private Trust Companies (“PTCs”)
PTCs are growing in popularity. Clients oftentimes use these structures to organise their substantial family wealth. A PTC is used to act as Trustee of one or more trusts. This product is particularly attractive as clients, and/or other family members can actively participate in the decision-making process as a member of the Board of the PTC
